These are the official rules (the “Official Rules”) that govern the 2022 Scouting Combine Contest (the “Contest”). Participation in the Contest constitutes Entrant’s (defined below) full and unconditional acceptance of these Official Rules.

Host. This Contest is promoted, sponsored, and administered by Competitive eSports, LLC (the “Host”). The Host shall conduct the Contest substantially as described in these Official Rules.

Eligibility. This Contest is open to all natural persons who are at least the age of majority in their jurisdiction (typically eighteen (18) years old) at the time of entry, and who are legal residents of the United States, District of Columbia and Canada (the “Entrants”). Entrants shall not include persons residing in other territories, such as Puerto Rico, Guam, or the US Virgin Islands, or any other jurisdiction where the Contest is prohibited. Entrants also shall not include employees, or shareholders of the Host and/or their family members. The Contest is subject to federal, state, and local laws and regulations. Offer is void where prohibited by law.

Entry Period. The Contest will begin accepting Applications (defined below) on April 27, 2022 at 9:00 AM PT and shall stop accepting Applications on May 16, 2022 at 11:59 PM PT (the “Entry Period”). The official timekeeping clock shall be the Host’s clock. Entrant’s Application must be received by the Host with the Entry Period to be entered into the Contest.

Entry. NO PURCHASE NECESSARY TO ENTER. During the Entry Period, Entrants will be permitted to enter the Contest by completing the following:

a. Enter all required information in the application found here: https://tl.gg/nextwaveapp (the “Link”);

b. Record and submit through the Link a screen recording of Entrant’s highest score in the custom aim skill challenge on AimLab, such a challenge to be found here: https://aimlab.pro/tl-thenextwave;

c. Create, record, and submit one (1) thirty (30) second video that demonstrates why Entrant should be the newest member of the Host (the “Video”). The Video should showcase Entrant’s personality, in-game FPS skills in Counter Strike: Global Offensive, VALORANT, Rainbow Six Siege, PlayerUnknown’s Battlegrounds, Fortnite, Apex Legends, or Quake, and any other information that will indicate why Entrant will make a great member of Host. The Video must be creative, unique, and in English. Entrant will be immediately disqualified if the Video includes any of the following: (i) use of drugs, alcohol, or weapons of any kind; (ii) sexually explicit material; (iii) derogatory remarks against any racial, gender, religious, or protected characteristics; (iv) promotes any political agenda; and/or (v) any other conduct deemed inappropriate or offensive by Host, in its sole and absolute discretion. Section 4(a), 4(b) and 4(c) shall collectively be referred to as the “Application”.

Applications made by an Entrant but not complete, received or accepted by the Host are void, and the Host is not responsible for any Applications not completed, received or accepted. Any fraudulent interference with the entry process or attempt to breach these Official Rules may result in Entrant’s disqualification from the Contest in the sole discretion of the Host.

5. Declaration of Compliance Consent. By entering this Contest, each Entrant is consenting to and agreeing with the Declaration of Compliance stated below as Exhibit A (the “Declaration of Compliance”).

6. Limitations on Entries. An Entrant gets one (1) entry for completing the Application described above, for a total of one (1) entry per Entrant. For the avoidance of doubt, an Entrant may not enter the Contest more than one (1) time. An Entrant may not use multiple email addresses, usernames, or other identifiers (including, without limitation social media accounts) to submit an entry. Applications received from any person or account in excess of the stated limitation will be void, and the Host may choose to disqualify the Entrant in breach of these Official Rules.

7. Contest Details. The Contest shall include five (5) rounds of competition, as follows:

a. Round One. “Round One” of the Contest will commence at the beginning of the Entry Period, and will conclude on May 27, 2022.

i. All qualified Entrants will be competing based on their Application, using their skill and ability detailed in their Application to express why they would be the best new member of the Host. The Host shall evaluate each Entrant’s skill and ability as displayed in Entrant’s Application to determine the six (6) most skilled Entrants (the “Potential Contestants”). For the avoidance of doubt, throughout the Contest, the Entrants (and Contestants, as applicable) shall be ranked in order of skill in the applicable round of the Contest, such “Ranking” to be determined by the Host and a panel of judges (the “Judges”), who shall be selected by the Host in its sole and absolute discretion.

ii. Between May 13 and May 27, 2022, (the “Selection Date”) at the Host’s principal place of business, the Host will attempt to notify the six (6) Potential Contestants, based on the Ranking. The Host will attempt to notify the Potential Contestants via email on or about the Selection Date (the “Notice”). If the Potential Contestants cannot be contacted within three (3) days after the date of the Host’s first attempt to contact the Potential Contestants (the “Response Deadline”), the Host may name the next most skilled Entrant, as determined by the Round One Ranking, a Potential Contestant.  For the avoidance of doubt, if a Potential Contestant does not respond to the Host by the Response Deadline, the Potential Contestant will lose any and all right to participate in the next round of the Contest and to the Prize (if applicable and defined below).

iii. Without limiting each Entrant’s consent and agreement with the Declaration of Compliance as stated in Section 5 of these Official Rules, upon request from the Host, each Potential Contestant will be required to complete, electronically sign and submit the Declaration of Compliance and a filming release agreement (the “Required Documents”) within five (5) days of the date that Notice is first sent to the Potential Contestant. If the Potential Contestant does not complete and return the Required Documents to the Host within the timeline specified herein, the Host may name the next most skilled Entrant, as determined by the Round One Ranking, a Potential Contestant.  For the avoidance of doubt, if a Potential Contestant does not complete and return the Required Documents to the Host within the timeline specified herein, the Potential Contestant will lose any and all right to participate in the next round of the Contest and to the Prize (defined below). When a Potential Contestant responds to the Host before the Response Deadline and signs and submits the Required Documents to the Host within five (5) days of the date that Notice is first sent, the Potential Contestant becomes a “Contestant” in the Contest.

b. Round Two. “Round Two” of the Contest will take place between June 4, 2022 and June 11, 2022 in Los Angeles, California (see Section 8(a)) for travel details). Contestants must be in Los Angeles, California to compete in Round Two of the Contest. In Round Two, the six (6) Contestants will compete in a challenge designed to test each Contestant’s teamwork abilities (the “Teamwork Challenge”). The Host and Judges shall evaluate each Contestants skill and ability as displayed in the Teamwork Challenge to determine the Round Two Ranking of the six (6) Contestants based on their teamwork skills, creativity, and in-game mechanical skills. The top four (4) Ranked Contestants from the Teamwork Challenge shall be invited to participate in Round Three of the Contest (described below). The Contestants Ranked in fifth (5th) and sixth (6th) place in the Teamwork Challenge shall compete in a one-versus-one battle on Aimlab (the “Elimination Battle”); the Contestant with the highest score in the Elimination Battle shall advance to Round Three. The Contestant with the lowest score in the Elimination Battle will be eliminated from the Contest.

c. Round Three. “Round Three” of the Contest will take place between June 4, 2022 and June 11, 2022 in Los Angeles, California (see Section 8(a)) for travel details). Contestants must be in Los Angeles, California to compete in Round Three of the Contest. In Round Three, the remaining five (5) Contestants will compete in a challenge designed to test each Contestant’s ability to remain calm under pressure (the “Pressure Challenge”). The Host and Judges shall evaluate each Contestants skill and ability as displayed in the Pressure Challenge to determine the Round Three Ranking of the five (5) Contestants based on their ability to remain calm under pressure, creativity, and in-game mechanical skills. The top three (3) Ranked Contestants from the Pressure Challenge shall be invited to participate in Round Four of the Contest (described below). The Contestants Ranked in fourth (4th) and fifth (5th) place in the Pressure Challenge shall compete in an Elimination Battle; the Contestant with the highest score in the Elimination Battle shall advance to Round Four. The Contestant with the lowest score in the Elimination Battle will be eliminated from the Contest.

d. Round Four. “Round Four” of the Contest will take place between June 4, 2022 and June 11, 2022 in Los Angeles, California (see Section 8(a)) for travel details). Contestants must be in Los Angeles, California to compete in Round Four of the Contest.  The remaining four (4) Contestants will compete in a challenge designed to test each Contestant’s creativity (the “Creative Challenge”). The Host and Judges shall evaluate each Contestants skill and ability as displayed in the Creative Challenge to determine the Round Four Ranking of the four (4) Contestants based on their creativity and in-game mechanical skills. The top two (2) Ranked Contestants from the Creative Challenge shall be invited to participate in Round Five of the Contest (described below). The Contestants Ranked in third (3rd) and fourth (4th) place in the Creative Challenge shall compete in an Elimination Battle; the Contestant with the highest score in the Elimination Battle shall advance to Round Five. The Contestant with the lowest score in the Elimination Battle will be eliminated from the Contest.

e. Round 5. “Round Five” of the Contest will take place on July 14, 2022 in Los Angeles, California (see Section 8(a)) for travel details). Contestants must be in Los Angeles, California to compete in Round Four of the Contest. The three (3) remaining Contestants will compete in one final gaming challenge to test their mechanical skills in-game, and communicate directly with the Judges and Host regarding why they should be named the “Winner” (defined below) of the Contest (the “Final Challenge”). The Host and Judges shall evaluate each Contestants skill and ability as displayed in the Final Challenge to determine the Ranking of the three (3) Contestants based on their in-game mechanical skills and communication skills. The number one (1) Ranked Contestant shall be named the “Winner” of the Contest.

f. Round Notification. The Host will notify the Contestants who will be advancing to the next Round via email at least five (5) days before the applicable Round takes place (the “Advancing Notice”). Contestants must respond to the Host within two (2) days of the Host sending the Advancing Notice, to claim their spot in the applicable Round. In the event any Contestant is unable or unwilling to advance to the next Round of the Contest, the Host shall allow the next qualifying Contestant from the Ranking to proceed to the next Round of the Contest.  For the avoidance of doubt, if a Contestant does not respond to the Host within two (2) days of the Host sending the Advancing Notice, the Contestant will lose any and all right to participate in the next round of the Contest and to the Prize (if applicable and defined below).

8. Prize. The Contestants of the Contest will each receive the following prize(s), based on the Round they participate in in the Contest:

a. Round Two Prizes. The six (6) Contestants who are invited to participate in Round Two of the Contest shall receive the following: one (1) round-trip flight from the airport nearest Contestant’s home residence to Los Angeles California and lodging accommodations in Los Angeles, California for the duration of the stay enabled by the flight offered above (the “Travel Prize”), to allow Contestant to participate in Round Two of the Contest in-person (approximate retail value of Two Thousand Five Hundred Dollars ($2,500) per Travel Prize). 

b. Round Five Prizes. In addition to the Travel Prize, the three (3) Contestants who participate in Round Five of the Contest will receive the following prizes, based on their final Ranking by the Host and Judges:

i. Third Place Prize. The Contestant Ranked in third (3rd) place in Round Five of the Contest will receive a one-time payment of Two Thousand Five Hundred Dollars ($2,500), a $250 Team Liquid Store gift card, an Aim Lab x Champion Collab Hoodie, a Mike and Ike prize package (includes a phone charger, car phone holder, T-Shirt and $50 gift card to Peeps & Company website), a Kingston FURY Renegade SSD, a HyperX: Solocast Gaming Microphone, and a Secretlab TITAN Evo 2022 Series - Team Liquid Chair (the “Third Place Prize”) (approximate retail value of Three Thousand Six Hundred and Sixty Dollars ($3,660)).

ii. Second Place Prize. The Contestant Ranked in second (2nd) place in Round Five of the Contest will receive a one-time payment of Five Thousand Dollars ($5,000), a $500 Team Liquid Store gift card, an Aim Lab x Champion Collab Hoodie, a Mike and Ike prize package (includes a phone charger, car phone holder, T-Shirt and $50 gift card to Peeps & Company website), Kingston FURY RAM, a HyperX: Quadcast Microphone, and a Secretlab TITAN Evo 2022 Series - Team Liquid Chair (the “Second Place Prize”) (approximate retail value of Six Thousand and Ten Dollars ($6,010)).

iii. Grand Prize.  The Contestant Ranked number one (1) in Round Five of the Contest, and named the “Winner” of the Contest, will receive a one-time payment of Twenty-Five Thousand Dollars ($25,000) to be offered in USD or USD Coin, an offer of a one (1) year Contract (defined below) with the Host, and a $1,000 Team Liquid Store gift card, an Aim Lab x Champion Collab Hoodie, a Mike and Ike prize package (includes a phone charger, car phone holder, T-Shirt and $100 gift card to Peeps & Company website), a Kingston FURY Renegade SSD and Kingston FURY Ram, a HyperX: Quadcast S Microphone, and a Secretlab TITAN Evo 2022 Series - Team Liquid Chair and MAGNUS Metal Desk (the “Grand Prize”, and together with the Travel Prizes, the Second Place Prize, and the Third Place Prize, and “Prizes”)) (approximate retail value of Eighty Nine Thousand Nine Hundred and Seventy Dollars ($89,970). For the avoidance of doubt nothing herein guarantees the Winner a one (1) year Contract with the Host – the Host is only obligated to offer Winner the Contract.

c. No more than six (6) Travel Prizes, one (1) Third Place Prize, one (1) Second Place prize, and one (1) Grand Prize will be distributed in the Contest. The total retail value of the Prizes detailed in these Official Rules is One Hundred Fourteen Thousand Six Hundred Forty United States Dollars ($114,640) for this Contest. In the event the Winner accepts the offer of the Contract, the approximate total Prize value will be One Hundred Fourteen Thousand Six Hundred Forty United States Dollars ($114,640). In the event the Winner does not accept the offer of the Contract, the approximate total prize value will be Sixty Four Thousand Six Hundred Forty United States Dollars ($64,640).

d. The Prize(s) may be delivered to each Contestant by manner and means that are in the sole and absolute discretion of the Host, including but not limited to an in-person delivery, USPS, FedEx, UPS. Further, in lieu of the Prize, the Host may in its sole discretion instead deliver the value of the Prize to the Winner. The Winner will be solely responsible for any tax obligations that arise as a result of receiving the Prize. The Prize(s) will be fulfilled within approximately three (3) months of the conclusion of the Contest.

e. Winner. Without limiting the Winner’s consent and agreement with the Required Documents, the Winner will be required to complete, electronically sign and submit a contract directly with Host (the “Contract”) to accept the Contract affiliated with the Grand Prize, such a Contract to detail Winner’s compensation and job requirements associated with the one (1) year Contract offer portion of the Grand Prize. The Contract must be completed, electronically signed, and submitted to the Host within thirty (30) days from the date the Winner is determined by the Host. For the avoidance of doubt, if a Winner does not complete, electronically sign and submit the Contract within the timeline specified herein, the Winner will lose any and all right to the Contract. Nothing herein obligates Winner to sign the Contract, or the Host to negotiate or adjust the terms of the Contract.

9. Winner Qualification. All Entrants, Potential Contestants, Contestants, and the Winner(s) (as applicable) must continue to comply with all terms and conditions of these Official Rules and winning the Contest is contingent upon fulfilling all other applicable requirements, as determined by the Host and detailed herein. In the event that a Contestant who is awarded a Prize is disqualified for any reason, Host will award the Prize to an alternate Contestant based on the Ranking of the Contestants in the applicable Round of the Contest. Only two (2) alternate awards of any Prize will be given, after which the Prize will remain un-awarded, to the extent permitted by law.

10. Publicity Rights. Each Entrant grants to the Host a worldwide, fully paid up, royalty free, sublicensable and transferable license to the Entrant’s name, likeness, voice, image, photograph, social media account names, Application information and content (including, without limitation, the Video), and any other content produced as a result of entering the Contest (the “Material”) in connection with the promotion, marketing, and making historical reference to this Contest. 

11. Indemnification. By submitting an entry in the Contest, each Entrant agrees to indemnify, defend, and hold harmless the Host and its affiliates, designees, parents, subsidiaries, employees, directors, officers, representatives and agents, and the Judges from: (a) any and all claims, demands, causes of action and judgments (including attorney’s fees, court costs and expert’s fees) arising out of or relating to any breach by the Entrant of the terms and conditions of these Official Rules and/or the Declaration of Compliance, including any representations and warranties; (b) any other losses, damages, rights, claims and actions of any kind in connection with or resulting from the Entrants participation in the Contest, including, without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy; and (c) use by the Host of Entrant’s Application submission or Entrant’s Material as set forth in these Official Rules. By agreeing to participate in the Contest, all Contestants further agree to indemnify, defend, and hold harmless the Host and its affiliates, designees, parents, subsidiaries, employees, directors, officers, representatives and agents, and the Judges from: (x) any and all claims, demands, causes of action and judgments (including attorney’s fees, court costs and expert’s fees) arising out of or relating to any breach by the Contestant of the terms and conditions of these Official Rules and/or the Required Documents, including any representations and warranties; (y) any other losses, damages, rights, claims and actions of any kind in connection with or resulting from the Contestants participation in the Contest, including, without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy; and (z) any other losses, damages, rights, claims and actions of any kind in connection with Contestant’s acceptance of, receipt, display, participation in and or/use of the Prize(s) including, without limitation, personal injury, death, and property damage.

12. Disclaimer, Release and Limit of Liability. The Host makes no representations or warranties of any kind, express or implied, regarding any Prize or Entrant’s participation in the Contest. By participating in the Contest, Entrants (including, without limitation, all Contestants) agree to release and hold harmless the Host, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents, and the Judges (the "Released Parties)" from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the Prize (including any travel or activity related thereto), including, without limitation: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the Winner, or the cancellation or postponement of the Contest; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrants participation in the Contest or acceptance, receipt or misuse of the Prize (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the greater of (i) the cost of entering and participating in the Contest, if any, or (ii) the sum of Fifty Dollars ($50), and in no event shall the Entrant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

13. General Terms. In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, including, without limitation, the cancelation or delay of any event that is integral to the Application or the Contest, as determined by Host in its sole discretion, the Host may, in its sole discretion, suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules. The Host reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner, or in any manner that reflect badly on the Host, as determined by the Host in its sole and absolute discretion.  Any attempt by any person to damage the Host or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Host reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Host to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

14. Data. The Host collects personal information from each Entrant when the Entrant enters the Contest. The Host will treat all personal information in accordance with any applicable data protection laws and in accordance with the Host’s privacy policy.

15. Arbitration. By entering the Contest, each Entrant agrees that should a dispute arise in any manner concerning or relating to this Agreement between the Entrant and the Host, including the arbitrability of this Agreement, other than injunctive relief and equitable relief, the dispute shall be submitted to and settled by binding and confidential arbitration in accordance with the rules of the American Arbitration Association in Los Angeles, California. Parties involved in arbitration shall bear their own legal fees and costs in any arbitration and shall equally split the fees of the arbitration and the arbitrator. Any decision and findings of the arbitrator shall be final and binding on the Parties and held confidential by the Parties, and the Parties agree to execute all documents necessary to maintain such confidentiality.

16. Governing Law and Disputes. Each Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Los Angeles, California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of California, without giving effect to any choice of law or conflict of law rules. COURT PROCEEDINGS HELD UNDER THESE OFFICIAL RULES CANNOT BE BROUGHT, MAINTAINED OR RESOLVED ON BEHALF OF OR BY A CLASS, AS A PRIVATE ATTORNEY-GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY.

17. Winner List. To receive a list of the Contestants/Winner who received the Prize, any individual may request the same by mailing a self-addressed, postage-paid envelope to: Competitive eSports LLC, ATTN: Scouting Combine Contest, 2890 Colorado Avenue South, Santa Monica, CA 90404.

EXHIBIT A

Declaration of Compliance
By participating in this the Contest, I, ___________, am submitting this Declaration of Compliance to the Host with the understanding that it will be relied upon by the Host in connection with my having been selected the winner of the Contest. All capitalized terms shall have the same definition as those set forth in the Official Rules of the Contest.

I represent that I am eligible to win the Prize(s);

I represent that I satisfy all eligibility requirements set forth in the Official Rules, which I acknowledge I have read and understood, and any other requirements imposed by law;

I hereby represent and affirm that I have read, understood, complied with and will continue to comply with, and expressly agree to all the rules, regulations, and terms and conditions set forth in the Official Rules;

I have not perpetrated and will not perpetrate any fraud or deception in connection with the contest and have not sought to influence the outcome other than by participating as expressly permitted in the Official Rules;

I will be responsible for all applicable taxes on the Prize(s) and hereby agree to indemnify and hold harmless the Host for any claim by any governmental agency relating back to the collection of said taxes;

I understand that any non-compliance with the Official Rules may result in my disqualification from the Contest and other penalties from the Host, including, without limitation, loss of the Prize(s);

I hereby grant the Host an irrevocable, perpetual, fully paid up, worldwide, royalty free, sublicensable and transferable license to display, create derivatives of, and otherwise use my likeness, voice, name, image, photographs, social media account names, gameplay, Application information, and other Materials in connection with the distribution, promotion, marketing, and making historical reference to this Contest.
